1. Introduction

These Terms of Service govern your access to and use of thespetz.com (the "Site") and the professional services offered by The Spetz ("we", "us", or "our"), owned and operated by Lihi Lothan. By accessing the Site, submitting a contact form, or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use the Site.

2. Services

The Spetz provides eCommerce UX and CX consulting, CRO audits, ongoing CRO services, agentic commerce solutions, and lectures and workshops. Specific service terms, deliverables, timelines, and fees are defined in separate written agreements or statements of work executed between you and The Spetz.

3. Contact Form Submissions

When you submit information through our contact form, you represent that the information is accurate and complete. You agree not to submit false, misleading, or fraudulent information. We collect and process submission data in accordance with our Privacy Policy.

Submitting a contact form does not create a contractual relationship or obligation on our part to provide services. We will review your inquiry and respond at our discretion.

4. Intellectual Property

All content on the Site, including text, images, graphics, logos, and other materials, is the property of The Spetz or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content without our prior written consent.

Any materials, reports, or deliverables provided to you as part of our professional services remain our intellectual property unless otherwise agreed in writing. We grant you a limited, non-exclusive, non-transferable license to use such materials solely for your internal business purposes.

5. User Conduct

You agree not to use the Site to:

  • Transmit any harmful, unlawful, defamatory, or offensive content.
  • Attempt to gain unauthorized access to any part of the Site or our systems.
  • Use automated means to access or scrape the Site without permission.
  • Interfere with the proper functioning of the Site or services.

6. Disclaimer of Warranties

To the fullest extent permitted by law, The Spetz and Lihi Lothan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Site or our services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid us for the specific service giving rise to the claim, or $100 if no payment was made.

8. Indemnification

You agree to indemnify, defend, and hold harmless The Spetz, Lihi Lothan, and our affiliates, officers, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Site, your violation of these terms, or your infringement of any third-party rights.

9. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these terms or is harmful to us or other users. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, indemnification, and limitation of liability.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

11. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices, services, or legal requirements. The updated terms will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes constitutes acceptance of the updated terms.
